1. Eligibility
To use the Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be barred from receiving the Services under applicable laws
- Provide accurate, complete, and current information when subscribing
- Comply with all applicable local, state, national, and international laws and regulations
If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
Axiom Strategy Lab provides software tools, indicators, strategy scripts, and educational resources designed for use on third-party platforms such as TradingView. Our Services include:
- Access to a library of strategy scripts (the "Lab")
- Subscriber-only Discord channels
- Customer support
- Updates to existing tools
- Access to new tools and/or scripts released during your subscription period
- Optional custom development services available for an additional fee
We are a software development company. We are not a registered investment advisor, broker-dealer, financial planner, or any other regulated financial entity. Nothing in our Services constitutes financial, investment, legal, or tax advice.
3. Subscription and Billing
3.1 Subscription Plans
The Lab Subscription is offered on a recurring monthly basis at the price displayed at checkout. Pricing may be adjusted from time to time at our discretion. Existing subscribers will be notified of any price changes to their subscription before they take effect.
3.2 Payment
By subscribing, you authorize us (and our payment processor) to charge your selected payment method on a recurring basis until your subscription is canceled. Subscriptions automatically renew at the end of each billing period.
3.3 Failed Payments
If a payment fails, we may suspend or terminate your access to the Services. You are responsible for keeping your payment information up to date.
3.4 Crypto Payments
We may temporarily accept alternative payment methods (such as cryptocurrency). These payments are non-refundable except as outlined in these Terms.
3.5 Pricing Changes
We reserve the right to modify subscription pricing at any time. Any pricing changes will not affect your current billing cycle but will apply to subsequent billing periods.
4. Cancellation and Refunds
4.1 Cancellation
You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period, and you will retain access to the Services until that period ends.
4.2 No Refunds
Due to the digital nature of our Services, all sales are final. We do not offer refunds for any subscription period that has already begun, regardless of usage. By subscribing, you acknowledge and agree to this no-refund policy.
4.3 Exceptions
In rare cases involving billing errors or technical issues caused by us, we may issue refunds at our sole discretion. To request a refund review, contact us through our Discord support channels.
5. License Grant
5.1 Grant of License
Subject to your compliance with these Terms and your active subscription status, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal trading or for trading conducted within your own business or trading entity. This license does not extend to use of the Services for the benefit of any third party or for any commercial service offered to third parties.
5.2 Restrictions
You may not:
- Copy, modify, reverse engineer, decompile, or disassemble any of our scripts, indicators, or software
- Redistribute, resell, sublicense, or share access to the Services with anyone else
- Share your account credentials, TradingView access, or Discord access with non-subscribers
- Use the Services to create competing products or derivative works
- Remove or alter any branding, copyright notices, or proprietary markings
- Use the Services in any way that violates applicable laws, regulations, or third-party rights
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use the Services in connection with any unlawful, fraudulent, or harmful activity
5.3 Prohibited Commercial Use
In addition to the General Restrictions above, you may not use the Services to operate or offer any commercial activity directed at third parties, including:
- Reselling signals, alerts, or trade calls derived from our scripts — including running a signal service, Telegram/Discord channel, or paid alert system that uses our scripts as the source of those signals
- Managing trading accounts that you do not personally own — including copy-trading services, prop firm management for others, fund management, or any service where you execute trades on behalf of third parties using our tools
- Offering paid services, communities, or memberships built on top of our scripts — including coaching, mentorship programs, or paid Discord/Telegram groups that rely on access to or output from our scripts
- Misrepresenting yourself as affiliated with, endorsed by, or part of the Axiom Strategy Lab team for the purpose of selling services, scamming users, or building credibility based on our brand
- Using our scripts in any commercial offering that is not your own personal or business trading, without prior written permission from us
5.4 Prohibited Conduct
You also may not use or reference the Services in connection with any fraudulent, deceptive, or harmful conduct, including but not limited to:
- Defrauding or scamming other traders, our subscribers, or any third party
- Soliciting fake investments, fake funds, or fake trading programs
- Operating pump-and-dump, Ponzi, pyramid, or similar schemes
- Falsifying trading results, P&L, or performance data to deceive others
- Using our brand, logo, scripts, or content to lend credibility to fraudulent activity
- Engaging in any scheme intended to deceive or financially harm any person
5.5 Termination of License
The license granted under this Section automatically terminates upon cancellation, expiration, or termination of your subscription. Upon termination, you must cease all use of the Services and any associated materials.
Any violation of Sections 5.2, 5.3, or 5.4 may result in immediate termination of your subscription without refund, in addition to any other remedies available to us under these Terms or applicable law.
6. Intellectual Property
6.1 Ownership
All content, scripts, indicators, software, designs, branding, documentation, and materials provided through the Services are the exclusive property of Axiom Strategy Lab. We retain all rights, title, and interest in and to the Services, including all intellectual property rights.
6.2 Trademarks
"Axiom Strategy Lab," "Axiom Lab," and our logos are trademarks of Axiom Strategy Lab. You may not use our trademarks without prior written permission.
6.3 Feedback
If you submit feedback, suggestions, or ideas regarding the Services, you grant us a perpetual, royalty-free, worldwide license to use such feedback for any purpose without compensation or attribution.
7. Acceptable Use
You agree to use the Services responsibly and in accordance with all applicable laws. You will not:
- Engage in harassment, abuse, or threatening behavior toward other users, our team, or third parties
- Post or transmit illegal, harmful, defamatory, or offensive content in our community channels
- Spam, advertise, or promote unrelated products or services in our Discord
- Attempt to disrupt, hack, or interfere with the Services or other users' access
- Use automated tools (bots, scrapers) to access the Services without our written permission
- Misrepresent your identity or impersonate others
- Engage in any activity that could harm the reputation, security, or operation of the Services
We reserve the right to investigate violations and take appropriate action, including suspending or terminating your access without refund.
8. Custom Development Services
8.1 Scope
Custom development services (custom indicators, scripts, automation tools, etc.) are offered separately from the Lab Subscription and require a one-time fee per project.
8.2 Project Terms
Each custom project is governed by the specific terms agreed upon when the project is initiated. Custom builds are non-refundable once development has commenced.
8.3 Ownership
Unless otherwise agreed in writing, intellectual property rights to custom-built code remain with Axiom Strategy Lab. The client receives a license to use the custom build for their personal or business purposes, subject to the restrictions in Section 5.2.
9. Third-Party Services
9.1 Integration
Our Services may rely on or integrate with third-party platforms such as TradingView, TradersPost, Whop, Discord, and various brokers. We are not responsible for the performance, availability, or policies of these third-party services.
9.2 Your Responsibility
You are responsible for:
- Maintaining your own accounts with third-party services
- Complying with the terms and conditions of those third-party services
- Any fees, costs, or issues arising from your use of third-party services
9.3 Service Disruptions
Outages, errors, or changes to third-party services may impact the functionality of the Services. We are not liable for any losses or damages caused by third-party service disruptions.
10. Trading Risks and Disclaimers
10.1 Not Financial Advice
Nothing in the Services constitutes financial, investment, trading, tax, or legal advice. All content is provided for informational and educational purposes only. You should consult with qualified professionals before making any financial decisions.
10.2 Trading Risk
Trading any financial instrument involves substantial risk of loss. Markets are volatile, and past performance does not guarantee or indicate future results. You may lose some or all of your invested capital.
10.3 Backtested Results
Any performance results, including those displayed in TradingView's strategy report, are simulated based on historical data. Backtested results have inherent limitations and may not reflect real-world trading conditions, including but not limited to slippage, latency, broker fees, and live market volatility.
10.4 No Guarantees
We make no representations, warranties, or guarantees regarding profitability, accuracy, or success rates of any of our tools or strategies. Examples, screenshots, or testimonials shared by us or community members are not typical and should not be interpreted as expected outcomes.
10.5 Personal Responsibility
You are solely responsible for all trading decisions, financial outcomes, and any losses incurred while using or in connection with our Services. You acknowledge that:
- Automated systems can fail or behave unexpectedly
- Connectivity issues or platform errors may affect trade execution
- You must verify that any tool or strategy is appropriate for your situation
- You must manage your own risk, including position sizing, stop-loss placement, and account oversight
11. Account Termination
11.1 By You
You may cancel your subscription at any time through your account. Cancellation does not entitle you to a refund of any prior payments.
11.2 By Us
We may suspend or terminate your access to the Services at any time, with or without notice, if:
- You violate these Terms
- You engage in fraudulent, abusive, scamming, or unlawful conduct, including any violation of Sections 5.2, 5.3, or 5.4
- You are found to be reselling, redistributing, or commercially exploiting our scripts in violation of Section 5.2, 5.3, or 5.4
- You are using our scripts to provide services to third parties, including copy-trading, signal-selling, or account management
- You impersonate our brand, team, or services for any reason
- Your payment fails and is not resolved within a reasonable period
- We discontinue the Services in whole or in part
- Required by law or regulation
11.3 Effect of Termination
Upon termination, your license to use the Services ends immediately, and we may revoke access to TradingView scripts, Discord channels, and other resources.
12. Limitation of Liability
12.1 Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted operation.
12.2 Limitation of Damages
To the maximum extent permitted by law, Axiom Strategy Lab, and their owners, employees, contractors, affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from:
- Your use of or inability to use the Services
- Trading losses, missed opportunities, or financial outcomes
- Errors, bugs, or limitations in our software
- Outages or failures of third-party platforms
- Any reliance on information provided through the Services
- Unauthorized access to or alteration of your data
12.3 Maximum Liability
In no event shall our total aggregate liability to you exceed the amount you paid for the Services in the twelve (12) months preceding the event giving rise to the claim.
12.4 Applicability
The limitations in this section apply regardless of the legal theory under which damages are sought, including contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Axiom Strategy Lab, and their owners, employees, contractors, affiliates, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any law or third-party rights
- Your trading decisions or financial outcomes
- Any content you submit, post, or transmit through the Services
14. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.
15. Modifications to the Services and Terms
15.1 Service Changes
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
15.2 Updates to Terms
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this document. Significant changes will be communicated through our website or Discord.
Continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions.
16.2 Dispute Resolution
Any dispute arising from or related to these Terms or the Services shall be resolved through:
- Good-faith negotiation — The parties agree to first attempt to resolve disputes informally by contacting us directly.
- Binding arbitration — If informal negotiation fails, disputes shall be resolved through binding arbitration administered by a recognized arbitration provider, conducted in Nevada or remotely by mutual agreement.
- Class action waiver — You agree to resolve disputes only on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
16.3 Exceptions
Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Disclaimer and Privacy Policy, constitute the entire agreement between you and Axiom Strategy Lab regarding the Services and supersede any prior agreements.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time without restriction.
17.5 Force Majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or failures of third-party services.
17.6 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
